LEVEL AND MIX OF REMUNERATION
Principle 8 The level and structure of remuneration should be aligned with long-term interest and risk policies
of the company, and should be appropriate to attract, retain and motivate (a) the directors to
provide good stewardship of the company, and (b) key management personnel to successfully
manage the company. However, companies should avoid paying more than is necessary for this
purpose.
In setting remuneration packages, the Remuneration Committee will take into consideration the pay and employment
conditions within the industry and comparable companies and the broad guidelines recommended by the Singapore
Institute of Directors. The remuneration of Non-Executive Directors will also be reviewed to ensure that the remuneration
commensurate with the contribution and responsibilities of the Non-Executive Directors.
The Company will submit the quantum of Directors’ fees of each year to the shareholders for approval at each Annual
General Meeting.
The Company currently does not have any contractual provisions to allow the Company to reclaim incentive from executive
directors and key management personnel in exceptional cases of wrongdoings.
DISCLOSURE ON REMUNERATION
Principle 9 Every company should provide clear disclosure of its remuneration policies, level and mix of
remuneration, and the procedure for setting remuneration, in the company’s annual report. It
should provide disclosure in relation to its remuneration policies to enable investors to understand
the link between remuneration paid to directors and key management personnel, and performance.
A breakdown showing the level and mix of each individual Director’s remuneration payable for financial year 2015 is as
follows:
